Federico Santacruz joined the firm in 1993 and has been a partner since 2001.

He has solid experience in energy and infrastructure projects, representing sponsors, lenders, off-takers, funds, and other investors in all aspects of project development and structuring, including renewable and conventional power plants. His practice includes advising on public auction processes for the acquisition of energy, capacity, and clean energy certificates; project-related mergers and acquisitions (including legal due diligence); negotiation of key project agreements such as PPAs, EPCs, O&M, MSAs, TSAs, land agreements, and gas supply and transportation contracts; as well as the structuring of related financings.

In the aviation sector, Federico advises lessors and lenders on the financing and leasing of commercial and private aircraft, helicopters, engines, and other specialized equipment.

Federico serves on the board of Grupo Pochteca and Desarrollos Metropolis, and actively collaborates with non-profit organizations.

Relevant Experience

  • Has represented diverse developers, sponsors and lenders during the bidding, financing, development and disposition of more than 10 IPP projects.
  • Represented bidders in more than 15 offers related to the CENACE long term auctions of energy, capacity and CEL’s.
  • Has represented dozens of generators, suppliers and offtakers in their drafting and negotiating of power purchase agreements (contratos de autoabastecimiento) under the Ley del Servicio Público de Energía Eléctrica and in respect of contratos de cobertura under the Ley de la Industria Eléctrica, to cover sales of power, CEL´s and capacity in the Mexican wholesale electricity market.
  • Has represented lenders, developers, sponsors, offtakes and acted in M&A transactions in respect of electric energy projects involving approximately 5,000 MW installed capacity worth more than USD$3 billion.
  • Has represented lessors, financing entities and air taxi companies in the leasing, financing and sale transactions involving more than 350 aircraft and aircraft objects.
  • Has represented lessors, financing entities and operators in the leasing, financing and sale transactions of multiple vessels, jack-ups and marine platforms.
  • Has generally assisted clients in developing and negotiating multiple complex contracts.
