Gerardo Barbará has experience advising financial institutions on financing structures and restructures for national and international companies. His expertise extends to energy and infrastructure project finance, where he has represented developers, as well as commercial and development banks.
Gerardo has also participated in complex cross-border M&A transactions advising buyers, private equity funds and sellers in the acquisition of companies in various sectors.
Represented Nexxus Capital, and other shareholders, in the sale to Alta Growth Capital of the fast-food franchise chain Carl's Jr in Mexico City.
Represented Scotiabank, as administrative agent, and the lenders, to partially finance the acquisition by Grupo Diagnóstico Aries of Access Medical Laboratories.
Represented Nacer Global Education, as purchaser, in the acquisition of 100% of the shares of Lottus Education, a Mexican education fund with a portfolio comprising five private universities.
Represented the administrative agent and the lenders, in the negotiation and execution of a term loan agreement to Interceramic, for the repayment of existing indebtedness and general corporate purposes.
Represented Grupo Salud Auna México, as purchaser, in the acquisition of Hospital y Clínica OCA and subsidiaries.
Represented Banco Nacional de México, in the structuring and implementation of a credit agreement to CIBanco, as trustee of a trust agreement, for the acquisition of financial assets originated by Mercado Lending (Mercado Libre).
Represented BBVA, in the refinancing of Restaurantes Toks' existing debt for a total amount of MXN$1,100 million.
Represented BBVA, Santander, Scotiabank and HSBC, in the refinancing of Grupo Gigante's existing debt for a total amount of MXN$4,850 million.
