María Fernanda Ibargüengoitia Lira joined the firm in 2015. She specializes in Banking and Finance, Competition and Antitrust, Energy and Infrastructure Projects and Mergers and Acquisitions.
  • PROFESSIONAL EXPERIENCE
    María Fernanda Ibargüengoitia Lira has advised national and international financial institutions in the structuring and restructuring of financing for public and private companies in Mexico. 

    As for her experience in mergers and acquisitions, she has advised buyers, sellers and financial advisers in the acquisition processes of private companies. 

    In antitrust, she has regularly assisted national and multinational companies in terms of notifications of concentration. She has also advised private companies and national and international financial institutions on financing projects and infrastructure, with a particular focus on operations in the energy sector.

  • RELEVANT TRANSACTIONS
    • Represented Grupo México in the acquisition and financing for the development, construction and operation of a 168 MW wind powered electric generation facility in the States of Nuevo León and Tamaulipas, México.
    • We represented EDP Renováveis and EDP Renewables Europe, the acquisition of the shares representing 100% of the share capital of the Mexican company Parque Solar Los Cuervos.
    • Advised The Bank of Nova Scotia in relation with the granting of financing to Contour Global PLC to acquire two combined cycle power plants of approximately 500MW located in Veracruz and Tamaulipas, Mexico.
    • Represented BBVA Bancomer, Caixabank, Natixis, MUFG, Bancomext, IDB Invest and European Investment Bank as lenders in relation to the financing of the Villanueva I, Villanueva III and Don José Solar projects, having an aggregate capacity of approximately 1 GW. The project companies are subsidiaries of Enel Green Power and CDPQ.
    • Represented Reforma 509 as borrower, in a USD$41 million Senior Credit with BBVA Bancomer for the financing of the Ritz-Carlton Hotel in Mexico City.
    • Represented Comexhidro in connection to the sale by LP III Chac y Comexhidro of their interests in Impulsora de Proyectos Hidroeléctricos and Energía del Golfo to ATCO Netherlands Holding Coöperatief.
    • Represented NordLB and DBTCA under certain credit agreement for a total amount of up to USD$364.800 million and DBTCA, Allianz Global Investors, BNP Paribas, ING, Mizuho and SabCapital under certain note purchase agreement relating the issuance of 5.465% senior secured notes due 2041 for a total amount of up to USD$450 with respect to the refinancing of the Fermaca El Encino gas pipeline.
    • Represented a leading real estate developer and other investors in the antitrust clearance for its acquisition of a shopping mall in Cancún and related properties.
    • Represented The Bank of Nova Scotia, in its capacity as Administrative Agent, and certain financial institutions party thereto, in connection with (i) an amended and restated credit agreement dated as of May 10, 2018, pursuant to which a senior secured revolving credit facility granted thereunder in favor of First Majestic Silver Corp., was increased to an aggregate amount of USD$75 million and (ii) the corresponding amendments to certain Mexican Security Documents and creation of new security interests in favor of The Bank of Nova Scotia, in its capacity as Administrative Agent, acting on behalf and for the benefit of the Finance Parties, and The Bank of Nova Scotia, in its capacity as Mexican Collateral Agent, acting on behalf and for the benefit of the Administrative Agent and Wheaton Precious Metals International in connection with the creation of new security interests in favor of the Mexican Collateral Agent with respect to Primero Empresa Minera’s main assets in San Dimas Mine, located in the States of Durango and Sinaloa to Primero Empresa Minera’s main assets in San Dimas Mine, located in the States of Durango and Sinaloa.
    • Represented Bank of Montreal, in its capacity as Administrative Agent, and to the lending institutions from time to time party thereto, in connection with the termination of certain credit agreement dated as of May 23, 2014 (as amended from time to time), and in connection with the corresponding terminations and releases to the relevant Mexican security documents granted in favor of Banamex, in its capacity as Mexican Collateral Agent, acting on behalf and for the benefit of each of Bank of Montreal, Wheaton Precious Metals International and Goldcorp.
    • Represented a special purpose company wholly owned by Blackrock in relation to the negotiation of: the EPC and Project Management Contracts relating to the overhaul and expansion works relating to the carbon transport logistics facilities in the port of Lazaro Cardenas designed to service the Petacalco coal-fired power plant operated by CFE, and the related USD$347 million hybrid bond / bank loan senior financing, VAT financing and security documents relating to such financings.
    • Represented a private equity firm in the antitrust clearance of its acquisition of Dura Fiber Technologies, a leading producer of durable technical textiles for industrial, tire reinforcement, and specialty applications globally.
    • Represented Trafigura to enter into a joint venture with Infraestructura Energética Nova (IEnova) to develop a USD$200 million hydrocarbons terminal in western Mexico.
