Marco Portillo Díaz joined the firm in 2013. He specializes in Compliance, Anti-corruption and Investigations, Energy and Infrastructure Projects and ESG.
Marco Portillo practice is mainly focused in all transactional energy-related matters in the different subsectors of the energy industry, including the entire production chain in the oil & gas and power industries. He also has experience in compliance, anti-corruption and investigations. He has represented a diverse portfolio of clients within the industry, such as developers, EPC contractors, service providers, operators, off-takers, financial institutions and lenders. As for oil & gas, he has extensive experience in upstream, transportation and storage, handling and general processing of hydrocarbons, LNG projects and structuring of a network of retailers in the downstream chain. Regarding the power sector, he has solid expertise in all stages of conventional and renewable projects and has represented several clients in the Wholesale Electricity Market, clean energy certificates (CEL) purchases, power auctions and negotiating power purchase agreements (PPAs). For both sectors, he has actively participated in project finance and M&A transactions.
Marco advises clients in different industries on compliance, anti-corruption and anti-money laundering (AML) matters, including risk assessments, implementation of compliance programs, ESG, AML obligations, anti-corruption and AML due diligence, background checks, contractual clauses for anti-corruption issues, trainings, best corporate governance practices, as well as investigations.
He worked as foreign associate in the Houston office of King & Spalding LLP.
Represented Pemcorp in its capacity as borrower in the refinancing of its 142MW project located in Nuevo León with Natixis, Sumitomo Mitsui Banking Corporation and ING for an amount of approximately USD$170 million.
Represented the lenders in connection with a USD$209 million loan to FRV Potosí Solar for the construction, development, installation, equipment, commissioning, operation and maintenance of a solar plant with a nominal capacity of 300 MW, located in San Luis Potosí, Mexico.
Represented IEnova in connection with a USD$115 million long-term electricity coverage agreement to supply energy to Deacero, which will develop, build, and operate the Pima Solar project to supply clean energy to the steel company.
Represented BHP in the first farm-out with PEMEX in Mexico for the exploration and extraction of light oil and associated gas under license modality in the Trión Field located in deep waters of the Cinturon Perdido Plegado. Currently represents BHP in the implementation and execution of the license agreement and its relevant project.
Represented Mexico Pacific Limited in the development of an LNG export project in Sonora, Mexico, including the negotiation of a long-term natural gas supply agreement with CFEnergia and the analysis of Mexican pipeline regulation.
Represented Grupo BAL as buyer in the negotiation of the 25-year PPA for the 306 MW Mesa La Paz wind farm, in Tamaulipas, Mexico, being developed by EnerAB, with an estimated investment of USD$580 million.
Represented Talos Energy in the design and drafting of its oil and gas gathering, oil storage, oil offloading, and gas processing agreements to secure midstream services in their Zama discovery in offshore Mexico.
Represented Zuma Energía in its awarded Cenace clean energy auction for the construction, operation, and maintenance of a wind power plant with a nominal capacity of 424 MW, located in Reynosa, Tamaulipas.
Represented IEnova in the negotiation of long-term contracts with a subsidiary of Valero for storage services in a liquid-fuels marine terminal and two inland storage facilities, which represent an estimated capital investment of USD$275 million.
Represented Energía del Caribe in the development of a 120 MW gas fired plant in Monterrey, Mexico, the first in its kind, which produces energy for export to Guatemala.
