  • PROFESSIONAL EXPERIENCE
    Jimena Caballero Gómez has experience advising mainly international lenders in structuring and restructuring credit facilities for Mexican entities.

    She has also experience in approval processes before the Mexican Federal Economic Competition Commission as well as in regulatory matters.
  • RELEVANT TRANSACTIONS
    • Represented BNP Paribas in connection with (a) certain second amended and restated credit agreement, dated as of July 30, 2019, pursuant to which the parties thereto amended and restated the terms of the 2017 credit agreement in order to establish in favor of Minera Media Luna (i) a senior secured revolving term credit facility for a total amount of USD$150 million and (ii) a senior secured non-revolving term credit facility for a total amount of USD$185 million and (b) the corresponding amendment agreement to certain Mexican Security Documents granted in favor of BNP Paribas, in its capacity as Administrative Agent, acting on behalf and for the benefit of the Finance Parties.
    • Represented The Bank of Nova Scotia, Canadian Imperial Bank of Commerce and the lenders in connection with (a) certain second amending agreement to the amended and restated credit agreement dated as of July 25, 2019, pursuant to which (i) The Bank of Nova Scotia resigned as Administrative Agent, (ii) CIBC was appointed as Administrative Agent, and (iii) the USD$300 million revolving credit facility granted in favor of Capstone Mining Corp. was extended and amended, and (b) the corresponding amendment and assignment agreements to certain Mexican Security Documents in order to reflect the assignment of the Administrative Agent's role and the amendment and extension to the USD$300 million revolving credit facility.
    • Represented The Bank of Nova Scotia, in its capacity as Administrative Agent, and certain financial institutions party thereto, in connection with (i) an amended and restated credit agreement dated as of May 10, 2018, pursuant to which a senior secured revolving credit facility granted thereunder in favor of First Majestic Silver Corp., was increased to an aggregate amount of USD$75 million and (ii) the corresponding amendments to certain Mexican Security Documents and creation of new security interests in favor of The Bank of Nova Scotia, in its capacity as Administrative Agent, acting on behalf and for the benefit of the Finance Parties, and The Bank of Nova Scotia, in its capacity as Mexican Collateral Agent, acting on behalf and for the benefit of the Administrative Agent and Wheaton Precious Metals International in connection with the creation of new security interests in favor of the Mexican Collateral Agent with respect to Primero Empresa Minera’s main assets in San Dimas Mine, located in the States of Durango and Sinaloa to Primero Empresa Minera’s main assets in San Dimas Mine, located in the States of Durango and Sinaloa.
    • Represented Bank of Montreal, in its capacity as Administrative Agent, and to the lending institutions from time to time party thereto, in connection with the termination of certain credit agreement dated as of May 23, 2014 (as amended from time to time), and in connection with the corresponding terminations and releases to the relevant Mexican security documents granted in favor of Banamex, in its capacity as Mexican Collateral Agent, acting on behalf and for the benefit of each of Bank of Montreal, Wheaton Precious Metals International and Goldcorp.
